1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and AAWAT Inc., a Delaware corporation ("Company," "we," "us," or "our"), governing your access to and use of WISP Creator (the "Service").

By creating an account or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access or use the Service.

You represent that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the organization you represent.

2. Description of Service

WISP Creator is a web-based platform that assists tax professionals in creating Written Information Security Plans (WISPs) as required by IRS Publication 4557 and the FTC Safeguards Rule. The Service provides:

  • Guided questionnaires to gather information about your security practices
  • AI-powered generation of customized security policy language (Professional and Lifetime tiers)
  • Pre-written templates and guidance (Starter tier)
  • PDF export of completed WISP documents
  • Document management and version tracking

2. Description of Service

WISP Creator is a comprehensive compliance management platform that assists tax professionals in achieving and maintaining FTC Safeguards Rule compliance. The Service provides:

  • AI-Powered WISP Builder: Guided questionnaires with AI-generated customized security policies
  • Risk Assessment: Comprehensive security risk evaluation with scoring and recommendations
  • Vendor Registry: Third-party vendor tracking with risk assessment and compliance monitoring
  • Staff Training: Security awareness training modules with quizzes and completion tracking
  • Incident Log: Security incident documentation and remediation tracking
  • Annual Reviews: Guided annual WISP review workflow with e-signature capture
  • Compliance Roadmap: Visual progress tracking across all compliance requirements
  • AI Concierge: 24/7 AI-powered compliance coaching and guidance
  • PDF Export: Professional export of completed WISP documents

4.1 Pricing Tiers

WISP Creator offers three pricing tiers:

  • Starter ($199 one-time): AI-powered WISP document generation and PDF export
  • Professional ($399/year): Complete Compliance Command Center including WISP Builder, Risk Assessment, Vendor Registry, Staff Training, Incident Log, Annual Reviews, Compliance Roadmap, and AI Concierge
  • Pro 3-Year ($899 one-time): All Professional features with 3 years of access and price lock guarantee

4.2 Payment Processing

All payments are processed securely through Stripe. By making a purchase, you authorize us to charge the payment method you provide. All prices are in US dollars and are exclusive of applicable taxes.

4.3 WISP Version Year Policy

Important: For Starter and Professional tiers, your WISP document is locked to the calendar year in which you first export it. This means:

  • If you purchase in December 2026 and export, your WISP will be dated "2026"
  • If you return in 2027, your exports will still show "2026"
  • To obtain a current-year WISP, you must purchase a new plan or upgrade to Lifetime

Lifetime tier users always receive the current year on their WISP exports, with no additional payment required.

4.4 Refund Policy

ALL SALES ARE FINAL. NO REFUNDS.

WISP Creator is a digital product with immediate access upon purchase. Due to the nature of digital products and the immediate delivery of AI-generated content, no refunds will be issued once:

  • Account access is granted
  • Any AI-generated content is created
  • Any PDF or document is exported
  • Any platform feature is accessed

By completing your purchase, you acknowledge that you have read the product description, understand what you are purchasing, and expressly waive any right to a refund.

4.5 Chargebacks and Disputes

FRAUDULENT CHARGEBACKS: Filing a chargeback or payment dispute after accessing or using the Service constitutes fraud and theft of services. In the event of a chargeback, we reserve the right to:

  • Immediately terminate your account and access to all content
  • Report the incident to fraud prevention databases
  • Pursue collection of all amounts owed plus associated fees and costs
  • Take legal action to recover damages

We maintain detailed logs of account access, content generation, and feature usage which will be provided to payment processors to contest fraudulent disputes.

5. Acceptable Use

You agree to use the Service only for lawful purposes. You may NOT:

  • Share your account credentials with others or allow multiple users to access a single account
  • Resell, redistribute, or commercially exploit the Service or generated content without authorization
  • Attempt to reverse engineer, decompile, or extract source code from the Service
  • Use automated tools to scrape, crawl, or extract data from the Service
  • Interfere with or disrupt the Service's infrastructure or security measures
  • Provide false or misleading information in your WISP questionnaire responses
  • Use the Service to generate content for illegal purposes
  • Impersonate another person or entity

6. Intellectual Property

6.1 Our Intellectual Property

The Service, including its design, features, code, AI models, templates, and branding, is owned by AAWAT Inc. and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works of the Service without our written permission.

6.2 Your Content

You retain ownership of the information you provide (your firm details, questionnaire responses) and the WISP documents generated for your use. You grant us a limited license to process this information solely to provide the Service.

The generated WISP content is provided for your internal business use. You may share your completed WISP with regulators, auditors, or as otherwise required for compliance purposes.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

NOT LEGAL OR PROFESSIONAL ADVICE: WISP Creator is a document generation tool, not a law firm, accounting firm, or compliance consulting service. The content generated by our Service is intended as a starting point and should be reviewed and customized by you to accurately reflect your actual security practices.

NO GUARANTEE OF COMPLIANCE: While our Service is designed to align with IRS Publication 4557 and FTC Safeguards Rule requirements, we do not guarantee that using our Service will result in full regulatory compliance. Compliance ultimately depends on your actual implementation of security measures and the accuracy of information you provide.

AI-GENERATED CONTENT: Content generated by AI should be reviewed for accuracy and appropriateness for your specific situation. AI may occasionally produce errors or inconsistencies.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AAWAT INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Regulatory fines, penalties, or enforcement actions
  • Damages arising from data breaches at your organization
  • Any claims related to the accuracy or completeness of generated content

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless AAWAT Inc. and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Any content you provide through the Service
  • Your failure to comply with applicable laws or regulations

10. Termination

By You: You may close your account at any time by contacting support@wisp-creator.com. Account closure does not entitle you to a refund.

By Us: We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or if required by law. We may also discontinue the Service with 30 days' notice.

Upon termination, your right to access the Service ceases. We recommend exporting your WISP documents before account closure.

11. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the Service at least 14 days before they take effect. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

YOU AGREE TO RESOLVE DISPUTES ON AN INDIVIDUAL BASIS AND WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

13. Miscellaneous

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and AAWAT Inc. regarding the Service.
  • Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
  • Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our consent. We may assign our rights without restriction.
  • Force Majeure: We are not liable for delays or failures in performance resulting from circumstances beyond our reasonable control.
